Founder's Note

When I started Kingsdale in 2003, the shareholder advisory industry in Canada barely existed. There was no established playbook, no precedent for what we were building, and no guarantee that boards would trust an independent firm to stand with them in their most consequential moments.

They did. And we have never taken that trust lightly.

More than two decades later, Kingsdale has advised on some of the largest and most complex transactions in North America, protected boards from activist campaigns that threatened to reshape their companies, and helped issuers navigate the governance challenges that define how markets perceive them.

What hasn't changed is why we do it. Every engagement from a multi-billion dollar transaction to a routine annual meeting is important. This is because for the board in that room, it is never routine. We bring the same preparation, the same urgency, and the same commitment to the outcome regardless of the size of the mandate.

The governance landscape will keep evolving. Shareholders will keep raising the bar. Activists will keep finding new angles. The companies that navigate it well won't be the ones that react but the ones that were already prepared.
